User Obligations

By using our services, you agree to:

  • Maintain the security and confidentiality of your account credentials
  • Use our services only for lawful purposes and in compliance with applicable laws
  • Not engage in fraudulent, abusive, or harmful activities
  • Comply with all relevant financial regulations and industry standards
  • Pay all fees and charges associated with your use of our services

Payment terms, billing cycles, and accepted payment methods are specified in your service agreement. Late payments may result in service suspension or termination.

Intellectual Property

The levato platform, including all software, content, trademarks, logos, and other intellectual property, is owned by levato or our licensors and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use our services in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of our services or included software.

Data Protection and Privacy

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which forms part of these Terms. By using our services, you consent to the collection and use of your information as described in our Privacy Policy.

Service Availability

While we strive to provide continuous service availability, we do not guarantee that our services will be available at all times. We may suspend or restrict access to our services for maintenance, security reasons, or due to circumstances beyond our reasonable control.

Limitation of Liability

To the maximum extent permitted by law, levato shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services. Our total liability to you for any claims arising from or relating to these Terms or our services shall not exceed the amount you paid to levato in the twelve months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless levato and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.

Compliance and Regulatory Requirements

You acknowledge that the use of our services may be subject to various regulatory requirements, including but not limited to anti-money laundering (AML), know your customer (KYC), and data protection regulations. You are responsible for ensuring your use of our services complies with all applicable laws and regulations in your jurisdiction.

Termination

Either party may terminate these Terms and your access to our services at any time with or without cause upon reasonable notice. levato may immediately terminate or suspend your access to our services if you breach these Terms or engage in prohibited activities. Upon termination, your right to use our services will cease immediately, and you must discontinue all use of our platform.

Force Majeure

levato shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, or government actions.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law principles. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Ireland.

Dispute Resolution

Any disputes arising from these Terms shall first be addressed through good faith negotiations. If a resolution cannot be reached, disputes may be resolved through binding arbitration in accordance with the rules of the Irish Commercial Mediation and Arbitration Centre, or through the courts of Ireland as specified above.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the revised Terms on our website and updating the "Last updated" date. Your continued use of our services after such modifications constitutes your acceptance of the updated Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.

Entire Agreement

These Terms, together with our Privacy Policy and any additional service agreements, constitute the entire agreement between you and levato regarding the use of our services and supersede all prior agreements and understandings.
